Hugh James advises Primacare Holdings Limited on successful reorganisation

We have advised Primacare Holdings Limited on the successful reorganisation of the Primacare Holdings Group and subsequent disposal of the group to an employee ownership trust.

Primacare is a bespoke seating company based in Wales that specialises in innovative healthcare chairs. It designs and manufactures custom solutions with a wide range of mechanisms, fabrics, and features, working closely with healthcare professionals to ensure optimal comfort and support for every client.

The transfer of the business into employee ownership is an exciting and positive step for the future of the company.

Our Corporate team played a pivotal role in guiding the Primacare team through the complexities of the disposal of the Primacare Holdings Group to the Trust.

Commenting on the reorganisation David Tomlin, Managing Director at Primacare, said:

“We would like to express our gratitude to Andrew and his team at Hugh James for all their help and the successful completion of the project. Our experience working with them was exceptional, and we highly recommend their expertise and professionalism”

Corporate / Commercial Partner Andrew Hoad led the deal, assisted by Solicitor, Kate Wilson, and Trainee Solicitor, Ruby Duncalf.

Andrew said:

“It was great to be able to assist David and the Primacare team with pulling this transaction together within such a tight time frame. We look forward to working with the Company as they embark on their next stage as an employee-owned business.”

“We are also pleased to have added this deal to the Corporate Team’s ever-growing list of EOT transactions that we have advised on.”
